Pengembangan perusahaan atau ekspansi dilakukan sebagai bagian dari strategi untuk
memenangkan persaingan atau untuk bertahan ditengah persaingan. Merger dan akuisis
menjadi salah satu cara yang digunakan oleh perusahaan untuk melakukan pengembangan
usaha. Perusahaan yang melakukan merger dan akuisisi seringkali mengalami perubahan
di dalam kegiatannya. Perubahan yang terjadi terutama dalam segi kinerja keuangan.
Penelitian ini bertujuan mengetahui ada tidaknya perbedaan kinerja keuangan sebelum
dan sesudah perusahaan melakukan kegiatan merger dan akuisisi. Desain penelitian
adalah desain penelitian asosiatif guna mengetahui hubungan antara dua variabel atau
lebih. Populasi dalam penelitian ini adalah seluruh perusahaan manufaktur yang
melakukan merger dan akuisisi selama periode pengamatan. Sampel penelitian ditetapkan
berdasarkan kriteria subsector industri semen dan pertambangan dengan masing-masing
objek terdiri dari tiga perusahaan. Periode pengamatan selama tiga tahun sebelum dan tiga
tahun sesudah merger dan akuisisi dilakukan. Hasil penelitian menunjukkan bahwa secara
keseluruhan tidak terdapat perbedaan kinerja keuangan sebelum dan sesudah
dilakukannya merger dan akuisisi ditunjukkan dengan nilai sig lebih besar dari 0.05.
Sedangkan berdasarkan sub sector industri, terdapat perbedaan kinerja keuangan industri
semen dan pertambangan pada rasio ROA, TATO, dan NPM sesudah terjadinya merger
dan akuisisi.
